Pet Angel World Services, With Peter Beaumont on Board, Raises $3.5M of $8M Share Offering - cbl

VERNON N.J. - Pet Angel World Services LLC has raised $3.48 million of a planned $8 million offering, according to an amended Reg D filing with the U.S. Securities and Exchange Commission. A total of 28 investors picked up the shares, each investing at least $10,000.

The Wilbraham, Mass.-based company offers pet memorial services to veterinarians and pet owners.

Principals named in the filing include: Chairman Glenn Hanson; CEO Michael Fuss; Penny Lynne Ellis, vice president for merchandising; Krista Hanson, vice president for design and online services; Sharon Martinache, director for the Florida region; John Pyle, director for the Indiana region; and executive officer Janice Roberts.

Also named in the filing are directors: Joseph Deliso, of Sutton Mass.; Peter Beaumont, of Vernon, N.J.; Richard Wilkes, of Tierra Verde, Fla.; Richard Volonino; and Kent Pecoy.

From the money raised, about $942,000 would be paid to executive officers, the company said in the filing. Also, sales commissions of $400,000 were due to New York-based Avalon Securities Ltd.

GLENN HANSON
Chairman


Glenn Hanson, Chairman, is a private investor and entrepreneur with 30 years experience in leading successful companies. MICHAEL D. FUSS
President and CEO


Michael D. Fuss is currently President and Chief Executive Officer of Pet Angel World Services LLC. ("Pet Angel"), a national start up in the pet death care market. Prior to joining Pet Angel, he was President, CEO and Director of Wm. Wright Co. ("Wrights"), from 2000 (when the business was acquired by Conso International Inc., a majority owned subsidiary of Citicorp Venture Capital), until 2006. Wrights is a major consumer product company holding dominant market share in the home sewing, craft and home décor retail markets. During his tenure as CEO, Wrights was transformed from a domestic manufacturing company into a progressive global organization with an international sales and marketing presence headquartered in Europe, global manufacturing and sourcing operations in India and China, and, an invigorated product development, marketing and sales effort. As CEO, sales doubled to in excess of $100 MM and EBITDA grew 120%.

Prior to his tenure as CEO, Mr. Fuss held the positions of Executive Vice President, CFO and Director of Wrights since 1989. In this capacity, he researched, negotiated and integrated three acquisitions; oversaw the company's capital employment in a highly leveraged environment (as the result of the LBO sale of the company in 1989); and, created independent financial and administrative systems due to the spin off from corporate parent Newell (currently Newell Rubbermaid).

Mr. Fuss joined Wrights in 1986 as a division of Newell from previous controllership responsibilities at other Newell divisions. Prior to joining Newell in 1985, he had significant financial responsibilities in accounting, treasury and M&A at Pabst Brewing Company ($800 MM in sales) where he was significantly involved in the acquisition of the Olympia Brewing Company. He also held progressive audit positions at Price Waterhouse from 1979 to 1983.

Mr. Fuss graduated Magna Cum Laude from the University of Wisconsin at Milwaukee with a BBA in Accounting. He obtained his CPA license in 1979.

PENNY ELLIS
Vice President, Merchandising

Penny Ellis opened the second Pet Angel Memorial Center in January 2005. The Company acquired Ms. Ellis' Memorial Center in 2007 as its second acquisition and she joined the Company as Vice President of Merchandising at that time. Ms. Ellis is also responsible for Memorial Center management training and performance oversight. She is a vital member of the Company's Best Practices Oversight Committee.

Prior to opening Pet Angel, Ms. Ellis was a Sales Consultant for Forethought Financial Services, Inc., a former subsidiary of Hillenbrand Industries. Her specific responsibilities included recruiting & training new sales associates, coaching & performance management, marketing program design & implementation, compensation & incentive program design, sales analysis & tracking, and the establishment of standard operating processes to assure repeatable quality results.

Penny also has retail management experience prior to her years at Forethought. She was a retail and area manager for Eddie Bauer, a former subsidiary of Spiegel. Her main responsibilities included hiring, training, and recruiting associates, inventory management and merchandising, and sales forecasting.

Ms. Ellis received a Bachelor of Business Administration from Fort Hays State University, Hays, Kansas. While at Fort Hays, Penny was a member of the Women's Basketball Team and eventually an assistant coach while finishing her degree. She participated in numerous sales training courses to further enhance her skills in marketing and sales, including Dimensions of Professional Selling and Spin Selling.

SHARON MARTINACHE
Director, Florida Region

Sharon is currently Director of Pet Angel's Florida Region. She was previously the Senior Vice President and Managing Director of an Engineering Consulting Company specializing in satellite communications for thirteen years. During that time she grew her division of the company from one tenth of the company to over 50 percent with a 20 fold increase in employees and offices across the United States. After a successful IPO of that company she took early retirement to pursue an opportunity to combine her love for animals, her business acumen and her management experience: starting from the ground up, an equine training and show facility, Silk Hope Farms. The goal was to develop Olympic caliber horses, schooled in eventing, a popular and premier sport. On an historic plantation, 150 acres of open fields became a complete facility with barn, show rings, cross country course and temporary boarding areas for 150 horses. She ran that facility for five years, conducting eventing trials and training horses to compete at International levels. After selling Silk Hope Farms she moved to Florida, finally landing in Saint Petersburg. She continued her involvement with animals as a volunteer with the local SPCA, working with dogs and other small animals. After joining Pet Angel as the Regional Director for Business and Market Development she has successfully increased sales and set a course to continue that growth while expanding the region. She holds a Bachelors Degree in Business Management from Summit University. Sharon lives in Saint Petersburg, Florida with her husband and son and their four family pets, three miniature dachshunds and a mixed breed puppy.

KRISTA HANSON
Vice President, Design and Online Services

Krista Hanson, Vice President of Design and Online Services, is a graduate of Western New England College and the University of Massachusetts, Amherst where she received a Masters Degree in Interior Design. She specializes in corporate design and was Facilities Design Director at MassMutual and partner at Spec's Design Group in Springfield, MA. Krista is a co-founder and Advisory Board member for the Hanson Initiative for Language and Literacy (HILL), a Trustee of Wilbraham and Monson Academy, and is active in several other philanthropic and service organizations.

As a member of the Pet Angel team, Krista will be responsible for the design of our memorial centers, creating a warm and supporting environment for pet parents and their babies, friends, and families.

A collector of fine crafts, Krista is also on a mission to find the finest artists to create unique hand made pet urns and remembrance pieces incorporating pet ashes. "We want to offer grieving pet parents the opportunity to keep their pet angels with them in a way that brings them comfort."

JOHN PYLE
Director, Indiana Region

John is Director of Pet Angel World Services' Indiana Region. In this role, John will be the primary liaison for the greater Indianapolis-area veterinary hospital community. He is also responsible for overseeing all operations of the Pet Angel Memorial Center facility. John is a native of Indiana graduating from Indiana University Bloomington in Business Management. After college John joined IBM where he sold solutions to the small and medium marketplace focusing on the medical and insurance industries. Through various promotions he managed an area consisting of three branch office locations. John moved to American Power Conversion (APC) first as a regional manager where he grew his region eight fold over three years. He relocated to the company's headquarters and assumed the role of National Sales Manager, followed by International Business Development Manager and finally as Director of Sales Performance. While at APC, the organization grew from $64 Million to almost $2 Billion in sales.

John's background of sales, management, business development and training provides the basis of his passion to combine the highest quality of customer care and service with the best trained associate force in the industry. He lives on the east side of Indianapolis along with his golden retriever Dixie.

DR. PETER R. BEAUMONT


Dr. Peter Beaumont has a list of accomplishments that make him a great asset to Pet Angel Memorial Center's Board of Directors. His entire work experience since 1980 has been as a principal, owner, board member or angel investor in several entrepreneurial ventures including ones in the veterinary industry.

For 25 years Dr. Beaumont was the President/Owner of Madison Veterinary Hospital which became one of the largest and most profitable practices in New Jersey, employing 40 staff. During this period he also owned Madison Feed and Pet Supply, a retail and grooming business for pet owners with a staff of eight. Both of these companies were successfully sold to a consolidator in 2005.

Dr. Beaumont is currently the Co-Founder and Chairman of Pizza Systems, Inc., a regional fast-food franchisor where he supervised the creation of franchising documentation and developed financial controls, marketing plans and real-estate parameters. He is the sole member of Yorkshire Realty I, LLC which is a computer-leasing and commercial real estate ownership/management company. He is the managing member of Yorkshire Realty II, LLC which is now embarked on its fourth project building custom, large single-family homes.

Other ventures Dr. Beaumont has been involved with include: Co-founder of Veterinary Practice Initiatives Ltd. in the United Kingdom, which was a regional consolidator of individual veterinary practices; Co-founder of Vetmark, Inc., a Minnesota based veterinary hospital/retail store/pet grooming concept sold in 2003; Partner in Veterinary Business Development, Ltd., a database marketing company also in the UK, which expanded to become a niche publishing powerhouse developing new magazines servicing the veterinary profession in Europe; Owner of Mijanou Restaurant which was renovated and later sold to a London restaurant chain in 1998.

Dr. Beaumont's educational experience includes having graduated from New York University's Stern Business School with an MBA, and Purdue University's Krannert Business School with a Certificate in Veterinary Practice Management. He also completed an internship and residency at the University of Pennsylvania's Veterinary Hospital, after receiving a veterinary degree from the University of Edinburgh's Veterinary School.

With 12 previous board appointments, Dr. Beaumont has extensive experience in corporate governance. He provides a wealth of knowledge for Pet Angel Memorial Center. Other projects that Dr. Beaumont has been involved in include: the publication of 17 papers in peer-reviewed journals on veterinary clinical and business-related subjects; Director of Veterinary Care for The Seeing Eye, Inc.; Editorial Board Member of the Veterinary Business Journal. Dr. Beaumont is also a member of the National Association of Corporate Directors, the American Veterinary Medical Association and the Royal College of Veterinary Surgeons.

In his spare time Dr. Beaumont enjoys art, travel, photography and gardening. Community involvement includes just finishing a term as a Board Member of a local school for children with autism.

He is married with 5 children aged between 16-27. Their sole family pet is "Bear", a 145 lb Caucasian Ovcharka adopted after having recently lost their beloved German Shepherd "Jessie" to liver cancer.

JOSEPH DELISO

Since 2007 Joseph C. Deliso (57) has served as a Director of Pet Angel World Services. He is currently Managing Director of Blackstone Management & Consulting, an executive management and consulting firm serving privately held corporations through growth, renewal and transition. Mr. Deliso also serves as CEO of Carando Gourmet Foods, a manufacturer and distributor of prepared frozen foods and Italian meats headquartered in Massachusetts, and CEO of Cabinetparts.com a leading international distributor of cabinet hardware headquartered in Florida.

Mr. Deliso is an experienced executive in both the private and public sector and has served companies ranging in size from $5 million to $400 million. He has experience as an entrepreneur, principal shareholder, and has extensive experience with start-ups and turnarounds. His 30 year professional career includes executive leadership experience in consumer products and industrial OEM industries, with a heavy emphasis in the discipline of marketing and sales. He provides strategic, capital and organizational talent to the Pet Angel board.

He is active in his local community and recently served as President of the Blackstone Valley Chamber of Commerce. He is currently chairman of the Blackstone Valley Economic Development Council, and serves on the Board of the Millbury Federal Credit Union - Commercial Services.

Prior he served as CEO of Pioneer Cold, COO of Kennedy Die Casting Inc, VP/GM of HBA Cast Products, Director of Marketing Consumer Products at Anchor Swan Division of Amerace Corp, Founder and Principal of Maison Advertising and Sales & Marketing Manager of Toolkraft Corp.

Mr. Deliso attained his BA from the College of the Holy Cross in 1970 and performed Advanced Study in Finance and Accounting at Boston University.

WILLIAM T. HANLEY

William T. Hanley, 60, is currently Chairman / CEO of Optical Alchemy, Inc. in Nashua, NH and Chairman of Video Communications Incorporated in Springfield, MA. He was Chairman, President and CEO of Millitech, Inc from February 2000, when the business was acquired from Telaxis Communications, Inc., through September 2005. Millitech, Inc. is a high-technology company specializing in applications of millimeter-wave technology, primarily used in satellite communications, radar and remote sensing. The company grew from $6 million in revenue to over $25 million in 2004. The company was sold in September of 2005 to an international company with over $5 billion in revenue.

Prior to purchasing Millitech he was Executive Vice-President and a Director of the Hanson Group, Ltd., Ludlow, Massachusetts. Prior to that he was affiliated with Galileo Corporation of Sturbridge, Massachusetts for over 16 years. He joined Galileo in May 1982 as Vice President of Manufacturing. He became Vice President of Manufacturing Operations in April 1983 and was named Executive Vice president, Chief Operating Officer and a Director in January 1984. He was appointed President and Chief Executive officer in August 1984 and served in that position through November 1998. Prior experience includes positions of Manufacturing Manager - Fiber Optics for Times Fiber Communications, Inc., Wallingford, Connecticut and 14 years experience with Corning, Inc., Corning, New York, where he held several positions in engineering, human resource development and manufacturing management.

Mr. Hanley was named the Worcester Business Journal's Business Leader of the Year in 1994, as well as one of the five most influential business people of Central Massachusetts He has appeared on CNN Business Day, MacNeil/Lehrer Business Hour and other national television and media programs. Mr. Hanley has a BS degree in Glass Science from Alfred University, Alfred New York and graduated with distinction from Corning Community College, Corning, New York.

RICHARD A. VOLONINO

Richard A. Volonino is currently Managing Partner of V-Three, LLC, a Strategic Business Advisors company specializing in Mergers & Acquisitions and varies Business Improvement Requirements. The company was founded in January, 2007.

Prior to V-Three, LLC, In September, 1997 he helped co-found United Rentals,Inc. as Vice President, Acquisitions. A construction equipment rental company. The company grew from zero gross revenue to over $3.8 Billion in 2006, primarily by over then 250 acquisitions. United Rentals is a public entity trading on NYSE under the symbol "URI". Prior to URI, in September, 1991 he helped co-found United Waste,Inc as Vice President, Acquisitions. A solid waste management company. The company grew from zero gross revenue to over $600 million by 1997, primarily by over 300 acquisitions. United Waste was a public entity trading on NASDAQ. The company was sold in August, 1997 USA Waste,Inc., now know as Waste Management,Inc. with over $12 Billion in gross revenue.

Mr. Volonino is a business consultant and a limited partner of several companies in Southeastern Connecticut and Rhode Island. He served as a member of the Board of Directors of the Unity Church in Pittsburgh, PA in 1985-1988. Mr. Volonino has a BS degree in business from the University of Bridgeport, CT, and an Associates degree in Electrical/Mechanical Engineering from New York City Community College.
