FREEHOLD, N.J. -- Knewco Inc. has closed a $2.64 million share offering, raising the amount from three investors, according to an amended SEC filing.

Principals named in the filing by the New York-headquartered technology company, with development centers in Bethesda, Md., and The Netherlands, are:

· CEO Rajiv Salimath, partner at GIV Venture Partners, which has offices in Philadelphia and Boston;

· Chairman William Melton, founder of VeriFone and Transaction Network Services (Nasdaq: TNSI);

· Director Alfred Berkeley, chairman of Pipeline Trading and former vice chairman of Nasdaq Stock Market;

· Director Arun Netravali of OmniCapital Group, with offices in Freehold, N.J. and Boston; and

· Raquel Barnes, executive officer.

The company said it would use $200,000 from the proceeds towards payment of salaries to named executive officers and directors.

Knewco is developing a so-called semantic search technology that enables advanced content discovery.

For more than 30 years, Bill has been an entrepreneur building global technology companies. In the early 80s, Bill founded VeriFone, the transaction automation company that has made credit authorization terminals ubiquitous on retail merchant counters throughout the U.S. In 1998, VeriFone was sold to HP for approximately $2.1 billion. Then, in the early 90s, Bill joined as an early investor and as Director of the Board of America Online.

Bill has also held positions as Chairman and CEO of Cybercash, a pioneer in e-commerce transaction systems, and, in 1994, he co-founded Transaction Network Services (NASDAQ: TNSI), a nationwide network dedicated to efficient transportation of financial transactions. TNSI was sold to PSINET in 1999 for approximately $750 million. Bill currently serves on the Boards of Directors of several privately held technology companies. Bill holds a Master's degree in Asian Studies and Chinese philosophy.

Arun Netravali
Director


Dr. Netravali is the Managing Partner at OmniCapital, prior President of Bell Laboratories and has been instrumental in bringing about numerous innovations in the television and communications industry. He is a Board Director of Level 3 and LSI Logic, and an advisor to Storm Ventures and Accenture.[/one_fourth]

Dr. Netravali is a recepient of the National Medal of Technology from President Bush and a recepient of the Padma Bhushan award from the President of India. He holds a Ph.D in Electrical and Electronics Engineering.

Alfred Berkeley

Al has over 30 years of experience in the financial industry. Al is currently the Chairman of Pipeline Trading, the innovative block trading platform. Prior to joining Pipeline, from June 1996 until August 2003, Al served as President and then Vice-Chairman of The Nasdaq Stock Market, Inc. Before Nasdaq, Al was a Managing Director of Alex. Brown & Sons, a leading investment bank. Al co-founded Alex.Brown's Technology Group in 1975. The Technology Group completed about 500 financial offerings for clients while he was associated with the Alex. Brown. Al is a graduate of the Wharton School of Finance of the University of Pennsylvania (MBA) and the University of Virginia (BA). He served as an officer in the United States Air Force.

Raquel Barnes
Executive Officer


After receiving her BA in Economics from UC Santa Barbara, Raquel spent many years working for an international company as a manager in the finance division. At the age of 26, she helped start a business where her background in finance naturally led to the position of Controller. She has since focused on everything from bookkeeping to payroll administration, human resources and expense management.

With an emphasis on Quickbooks, Raquel has both for-profit and non-profit 501(c)3 clients in Palm Beach and Broward County as well as MD, VA and overseas. Specializing in reconstruction and merchant account investigation, she also practices forensic bookkeeping wherein her work has been accepted by the Attorney General of FL and the FTC.
